Articles of Organization

« Back to Glossary Index

The Articles of Organization (sometimes called a Certificate of Formation) is the document you file with your state to officially create an LLC. It includes basic details such as the business name, address, registered agent, and whether the LLC will be member-managed or manager-managed. Filing this document is the first formal step in establishing your company as a legal entity. Each state has its own version, but the purpose is always the same: to register your LLC with the state government. Without filing Articles of Organization, your LLC does not legally exist.
