A Certificate of Authority is the document a state issues when your LLC registers as a Foreign LLC. It allows you to legally operate in that state while being formed in another. You must file an application, pay a fee, and often provide a Certificate of Good Standing from your home state. Without this certificate, your LLC may face fines and be unable to enforce contracts in that state. It’s a key part of expanding across state lines.
